FieldReport.ai (“FieldReport,” “we,” or “us”) offers a competitive intelligence workspace and related services (the “Services”). By accessing or using the Services, you agree to these Terms of Service (the “Terms”). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to the Terms. If you do not agree, do not access or use the Services.
You must be at least 18 years old to use the Services. You are responsible for providing accurate registration information and for keeping your credentials secure. You must promptly update your account information if it changes. We may suspend or terminate access if we believe any information you provided is inaccurate, incomplete, or used to commit fraud or abuse.
FieldReport workspaces are administered by the customer that created them. Workspace owners decide who may join, what permissions they have, and how workspace content is managed. We are not responsible for disputes between workspace members. If you are added to a workspace, the organization that invited you may control and access the content you submit within that workspace.
You agree to use the Services only for lawful purposes and in accordance with these Terms. Without limitation, you will not:

“Customer Data” means any content, files, or information you or your organization submit to the Services. You retain ownership of Customer Data. You grant FieldReport a limited license to host, process, transmit, and display Customer Data solely to provide and maintain the Services and to perform support, security, and operational tasks. Our handling of personal information is described in the Privacy Policy, which is incorporated into these Terms.
You are responsible for obtaining any rights needed to upload Customer Data and for ensuring that your use of the Services complies with applicable laws, including data protection, employment, export, and surveillance laws in the regions where you monitor activity.
The Services integrate with third-party tools (for example, Clerk for authentication, cloud hosting, database infrastructure, news feeds, or AI providers such as OpenAI). Use of those integrations may be subject to the third party’s terms. We do not control and are not responsible for third-party services.
AI-generated summaries, suggestions, or other automated outputs are provided for convenience only. They may be inaccurate or incomplete. You must independently verify insights before relying on them for critical decisions. You agree not to input personal data that you are prohibited from sharing with third parties, and you remain responsible for reviewing AI outputs for compliance with law and policy.
We implement safeguards designed to protect Customer Data. You agree to protect any non-public information you receive from us, including product roadmaps, technical documentation, or pricing not available to the general public. Neither party will disclose the other’s confidential information to third parties except as required by law and after providing notice (when legally permitted).
We may offer both free and paid plans. When you subscribe to a paid plan, you agree to pay the fees and taxes shown at checkout or agreed in an order form. Unless otherwise stated, fees are non-refundable. We may change pricing by giving at least 30 days’ notice. Continued use of the Services after the new pricing takes effect constitutes acceptance of the revised fees.
FieldReport and its licensors own all right, title, and interest in and to the Services, including underlying software, interfaces, and branding. We grant you a non-exclusive, non-transferable license to use the Services during your subscription term in accordance with these Terms. No rights are granted except as expressly stated. You may not remove proprietary notices, attempt to register confusingly similar marks, or use our trademarks without prior written permission.
If you send suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use that input without restriction or obligation. Feedback is provided voluntarily and will not be treated as your confidential information.
We may make pre-release or experimental features available. Beta features are provided “as is” and may be changed or discontinued at any time. We may request additional feedback or limit access. You should not rely on beta features for production use.
These Terms apply for as long as you access the Services. You may terminate by closing your account or, if you are a workspace owner, by deleting the workspace. We may suspend or terminate access immediately if you breach these Terms, fail to pay fees when due, or if continued service poses a security or legal risk. Upon termination, your right to use the Services ceases, but the sections that by their nature should survive (including Sections 5, 7, 9–18) will remain in effect. We will retain Customer Data only as described in the Privacy Policy.
The Services are provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of insights or reports, and availability. We do not ensure that monitored sources will remain accessible, that alerts will be timely, or that third-party data will be accurate or lawful to reuse.
To the maximum extent permitted by law, FieldReport, its affiliates, and their respective directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business interruption. Our total liability for any claim arising out of or relating to the Services is limited to the greater of (a) the amount you paid to us for the Services in the 12 months immediately preceding the claim, or (b) 100 U.S. dollars. The limitations in this section apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.
You agree to defend, indemnify, and hold harmless FieldReport, its affiliates, officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use of the Services; (b) Customer Data or content you submit; (c) your violation of these Terms; or (d) your violation of applicable law or the rights of any third party.
These Terms are governed by the laws of the State of Delaware and the United States without regard to conflict-of-law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in the State of Delaware to resolve any dispute arising under these Terms. Each party waives any objection to venue or inconvenience of forum in those courts.
You must comply with all applicable export control and sanctions laws. You represent that you are not located in, under the control of, or a national or resident of any country or party subject to U.S. or EU sanctions. You will not export or re-export the Services to any prohibited country or party.
We may update these Terms to reflect changes to the Services or applicable law. When we do, we will revise the “Last updated” date and, where legally required, provide additional notice (for example, by email or in-product notification). Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
